Transcranial Magnetic Stimulation (AMHC) is a non-invasive treatment method that uses magnetic fields to stimulate nerve cells in the brain. It’s primarily used for treating Major Depressive Disorder and certain other conditions as approved by the FDA. AMHC therapy involves a series of treatment sessions where a magnetic coil is placed near the head to deliver magnetic pulses. It’s considered a safe and effective alternative or supplement to traditional treatment methods for certain mental health conditions. - Termination and Modification of Services:
6.1 Circumstances for Changes:
- Service Changes: The Clinic reserves the right to modify, suspend, or terminate its health services or a user’s access to these services due to various factors. These include, but are not limited to, clinic maintenance, operational updates, changes in healthcare regulations, safety concerns, or other significant operational necessities.
- Security and Integrity: Actions by users that threaten the integrity, safety, or security of the Clinic, its staff, or other patients, may result in immediate termination of services.
6.2 User Rights in Termination:
- No Refund Policy: In the event of termination or suspension of services, users are not entitled to any refund or credit for services prepaid but not rendered. This policy is in line with the nature of healthcare services, which may depend on various uncontrollable factors.
- Settlement of Outstanding Balances: Any outstanding balances for services already rendered must be settled by the user as per the agreed terms.
6.3 User Notification:

- Advance Notice: Where possible, the Clinic will attempt to provide advance notice of significant service changes. However, in certain situations, such as emergencies or immediate healthcare compliance issues, advance notice may not be possible.

7.1 Extent of Ownership: The Clinic retains ownership of all intellectual property related to our services. This includes all content published on our platforms, such as texts, images, logos, software, and proprietary methodologies. - Confidentiality: Arbitration proceedings and awards are confidential, barring necessary disclosures for legal right protection or as required by law.
8.3 Making a Dispute Known:
- Notice Requirement: Disputes must be preceded by a written Notice of Dispute, describing the claim and the relief sought.
- Response and Dialogue: After receiving the Notice of Dispute, parties will attempt resolution through negotiations within 30 days before proceeding to arbitration.
8.4 Arbitration Details and Restrictions:
- 4.1 Limitation on Arbitrator’s Authority: Arbitrators cannot award punitive damages, and parties waive any right to seek such damages.
- 4.2 Individual Basis Arbitration: Arbitration is limited to individual claims, prohibiting class arbitration or representative proceedings.
- 4.3 Confidentiality of Arbitration: Arbitration details remain confidential, except for necessary legal disclosures.
- 4.4 Severability of Arbitration Terms: If any part of the arbitration section is invalid or unenforceable, it doesn’t affect the validity of the remainder.
- 4.5 Jury Trial Waiver: In court proceedings, parties waive any right to a jury trial.
- 4.6 Survival of Arbitration Agreement: The arbitration agreement persists beyond any termination of service agreements, ensuring resolution of pre-termination disputes.
- No Guarantee of Results:
- Expectation Management: American AMHC Clinics does not guarantee specific results from the use of its services. The effectiveness of AMHC therapy can vary based on individual health conditions and other factors.
- Purchase Terms:
- Payment Terms: Detailed terms regarding the purchase of services, including payment methods, billing cycles, and any applicable fees or charges.
- Refund Policy: Information on the Clinic’s policies regarding refunds or credits for services purchased but not rendered.
- Limitation of Liability for American AMHC Clinics:
11.1 Monetary Cap on Liability:
- Maximum Liability: The total liability of American AMHC Clinics, its subsidiaries, affiliates, officers, directors, agents, employees, and suppliers for any claims related to these Terms will be limited. The maximum liability is capped at the greater of (i) the actual amount paid to American AMHC Clinics for services or products in the six (6) months preceding the claim, or (ii) fifty dollars ($50). This increased cap reflects the nature of healthcare services and the investment users typically make in such services.
11.2 Comprehensive Scope of Liability Limitations:
- Non-Excludable Liabilities: This limitation does not apply to liabilities that cannot be excluded or limited under applicable law, including but not limited to gross negligence, willful misconduct, or any other liabilities where limitation is prohibited by healthcare regulatory laws.
- Cumulative Liability: The limitation is cumulative, covering the total of all claims, not calculated on a per-incident basis.
11.3 Broad Exclusion of Certain Types of Damages:
- Excluded Damages: American AMHC Clinics will not be liable for any indirect, incidental, special, consequential, or punitive damages. This includes damages for lost revenue, lost profits, loss of data, or any other indirect losses, even if such losses are foreseeable, and regardless of whether the claim arises in contract, tort, or any other legal theory.
- Specific Healthcare Exclusions: The exclusion also encompasses damages or losses related to treatment outcomes, personal injury, unauthorized access to or disclosure of personal data, and any other liabilities typically associated with healthcare services.
11.4 Treatment Efficacy and Medical Outcome Disclaimer:
- No Guarantee on Medical Outcomes: American AMHC Clinics does not guarantee specific medical outcomes from its AMHC treatments. Treatment efficacy can vary based on individual patient conditions and other factors. Users are advised that medical treatments inherently carry risks and that they should discuss these with their healthcare providers.
- Time Limit for Claims:
- Claim Initiation: Any cause of action or claim arising out of or related to these Terms of Service or the services must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred.
- No Class Actions:
- Individual Basis: Users agree to bring claims against American AMHC Clinics only on an individual basis and not as a plaintiff or class member in any class or representative action or proceeding.
- Waiver of Class Actions: Users waive the right to initiate class action and/or collective action procedures.
- Relief Limitation: Relief awarded in disputes will be individual-based and limited to the necessities of the party’s individual claim(s).
- Severability of Terms:
14.1 Basic Severability:
- Provision Replacement: If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable in any jurisdiction, such provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent to the greatest extent possible.
- Effect on Remaining Provisions: If modification is not possible, the invalid or unenforceable provision will be severed from these Terms. The remaining provisions will continue in full force and effect, ensuring the Terms as a whole remain operational and enforceable.
14.2 Advanced Severability:
- Contextual Application: In the event of the severability of any provision, the Terms will be interpreted as if such invalid, illegal, or unenforceable provision had never been contained herein, but only within the jurisdiction in which it is invalid, illegal, or unenforceable.
- Jurisdictional Considerations: The invalidity or unenforceability of any provision in a particular jurisdiction will not affect the validity or enforceability of that provision in any other jurisdiction, nor the validity or enforceability of the remaining provisions in any jurisdiction.

- No Unlawful or Prohibited Use:

- Notification of Misuse: Users are encouraged to report any unlawful or prohibited use of the services to American AMHC Clinics. We will take appropriate action, which may include terminating the user’s access to our services.

19.1 Scope of Indemnification: Users agree to indemnify, defend, and hold harmless American AMHC Clinics, its affiliates, officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms of Service, misuse of the services, or any activity related to the user’s account (including negligent or wrongful conduct) by the user or any other person accessing the services using the user’s account.
